1. Introduction

Welcome to the OttoKonek Mobile Application. These Terms and Conditions govern your access to and use of the OttoKonek App and its features. By downloading, accessing, or using the OttoKonek application, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using the OttoKonek Application.

The OttoKonek application is designed to provide you with a convenient and efficient platform for online shopping, catering both retail and sari-sari store owners directly from your mobile device. Through the OttoKonek application, you can perform a variety of transactions, including but not limited to:

• Wholesale and Retail Ordering.
• Reviewing transaction history.
• Payment Processing.
• Product Browsing.
• Account Linking.

By using the OttoKonek application, you acknowledge that you have read, understood, and agree to these Terms. Your continued use of the OttoKonek application signifies your acceptance of these Terms and any future modifications. It is your responsibility to review these Terms periodically for any changes.

2. Definition of Terms.

The following shall mean:

2.1 “OttoKonek Application” shall mean an application that refers to a B2B e-commerce application providing SSS/retailers with a wide range of products, competitive prices, and reliable/fast delivery to grow their businesses. It is an application for micro business owners to digitalize their traditional retail store transactions.

2.2 “OttoKonek Application User/Customer” refers to a CARD MRI FIs member and non-member who use the application to browse product, place orders, process payment and manage other transactions.

2.3 “Linked Account(s)” refers to external accounts or payment methods, such as CARD MRI FIs, e-wallets or other financial services, that are connected to the OttoKonek application.

2.4 “Order Supplies” refers to the processing of purchasing products or goods through the OttoKonek application.

2.5 “Order History” refers to a record of all past transactions made by a user within the OttoKonek application.

2.6 “Shopping List” refers to a customized list of products that a user intends to purchase through the OttoKonek application.

2.7 “Account” refers to a registered user profile within the OttoKonek Application containing personal or business information and login credentials.

2.8 “Mobile PIN” refers to the Mobile Personal Identification Number (MPIN) created by the user to securely access their OttoKonek account and authorize transactions within the application.

2.9 “We”, “Us” and “Our” refer to CARD OttoKonek, Inc.

2.10 “You” and “Your” refer to the owner of the account.

2.11 “SMS” refers to short messaging system.

2.12 “OTP (One-Time Password)” refers to a secure verification code sent to the user’s registered mobile number during registration or login to confirm their identity.

3. Account Registration and Use

3.1 Eligibility

You must be at least 18 years old or have the legal capacity to enter into an agreement to use the app.

3.2 Simplified Registration

• To simplify the registration process, you will be required to provide personal information, including your mobile number, full name, birthdate, and a complete address.
• By registering, you agree to share this information with CARD OttoKonek, Inc. for the purpose of account creation, identity verification, and customer support.

3.3 OTP Verification

• You will receive a One-Time Password (OTP) on your registered mobile number to verify your identity during registration and login.
• You are required to enter OTP correctly to complete the registration process or gain access to your account.

3.4 Security Measures

CARD OttoKonek, Inc. is committed to protecting the security and integrity of your personal and financial information. We implement standard security measures, including encryption technologies and secure communication protocols, to safeguard your data during transmission and storage.

To enhance the security of your account, CARD OttoKonek, Inc. employs the following measures:

• Secure login procedures, including One-Time PIN (OTP) to login to other devices to verify your identity.
• Encryption of sensitive data to protect it from unauthorized access.
• Continuous monitoring of transactions to detect and prevent fraudulent activities.

You are responsible for maintaining the security of your account and device. This includes:

• Creating strong, unique passwords and changing them regularly.
• Keeping your device secure by using up-to-date antivirus software and avoiding unauthorized access.
• Immediately reporting any suspected security breaches, unauthorized access, or suspicious activities to CARD OttoKonek, Inc. using the contact details provided in Section 16 (Customer Service).

3.5 Accuracy of Information

CARD OttoKonek, Inc. will use reasonable efforts to ensure the accuracy of information accessed through the OttoKonek application. Hence, you are responsible for the correctness of the information supplied to CARD OttoKonek Inc. through the use of the OttoKonek application or any other means such as electronic mail or written communication. CARD OttoKonek, Inc. accepts no liability for the consequences arising out of erroneous information supplied by you through the OttoKonek Application. If you suspect that there is an error in the information supplied to CARD OttoKonek, Inc., you must immediately advise CARD OttoKonek, Inc. as soon as possible. CARD OttoKonek, Inc. will endeavor to correct the error whenever possible.

If you notice an error in the account information supplied to you through the OttoKonek Application or by the use of any of the OttoKonek Application services, you must immediately advise CARD OttoKonek, Inc. as soon as possible. CARD OttoKonek, Inc. will endeavor to correct the error promptly and adjust any interest or charges arising out of the error.

4. TRANSACTIONS AND PAYMENTS

4.1. Order Placement

Orders are subject to product availability and supplier approval. CARD OttoKonek, Inc. does not guarantee the availability of any product.

4.2 Payment Processing

Payments are processed through linked accounts or other approved methods. All payment information is encrypted and securely handled.

4.3. Refunds and Cancellations

Refund and cancellation policies are subject to the terms set by the supplier. OttoKonek facilitates communication between users and suppliers but is not liable for supplier decisions.

5. User Conduct

5.1 Prohibited Activities – You agree not to:

• Use the App for illegal, fraudulent, or unauthorized purposes.
• Interfere with the operation of the App or attempt to access restricted areas.
• Misuse or manipulate the App's features.

5.2. User Responsibility

You are solely responsible for any content you upload, share, or communicate through the App.

6. Services and Features

6.1 Overview of Services

The OttoKonek Application, provided by CARD OttoKonek, Inc., is an online wholesale and retail shopping platform designed to simplify product sourcing and purchasing for businesses and individual customers. Through the OttoKonek App, users can conveniently browse products, place orders, process payments, and manage their accounts in one integrated platform.

The OttoKonek App offers the following core services:

• Product Catalog – Access to a wide range of products from verified suppliers, including wholesale and retail items.
• Order Management – Easy order placement, real-time tracking, and detailed order history.
• Secure Payments – Multiple payment options with secure encryption and transaction processing.
• Shopping List – Save preferred products for quick and easy future purchases.
• Customer Support – Dedicated support for order inquiries, payment issues, and general assistance.
• Promotions and Discounts – Access to exclusive supplier deals and seasonal promotions.

OttoKonek is committed to providing a seamless and secure shopping experience, connecting users with trusted suppliers and ensuring efficient order fulfillment.

Services may vary depending on your account type (Member, Non-Member) CARD OttoKonek, Inc. reserves the right to modify, add, or remove services at its discretion.

6.2 Access to Features

By using the OttoKonek application, you agree to grant the OttoKonek Application specific permissions necessary for accessing certain features. This may include, but is not limited to, access to your device's location, camera, and storage. These permissions are essential for enhancing the functionality and security of the OttoKonek application. You can manage or revoke these permissions at any time through your device settings; however, please note that doing so may limit your ability to use certain features of the OttoKonek application effectively. By continuing to use the OttoKonek application, you acknowledge and consent to these permissions.

The OttoKonek application is designed to provide a user-friendly experience. However, the availability and functionality of features may be affected by factors such as:

• Device compatibility and operating system updates
• Internet connectivity and network condition
• Technical issues or maintenance activities

7. PRIVACY POLICY AND DATA CONSENT

7.1 Data Collection

By using the App, you agree to share the following personal information:

• Full Name
• Birthdate
• Mobile Number
• Complete Address

7.2 Data Usage

• Identity verification during registration and login (via OTP)

7.3.6 Data Retention Your personal data will only be retained for as long as necessary to fulfill the purposes outlined in these Terms, comply with legal obligations, resolve disputes, and enforce agreements.

7.4 Data Sharing

Your personal information will not be shared with third parties without your explicit consent, except in the following cases:

8. Amendments to Terms and Conditions

8.1 Right to Amend

CARD OttoKonek, Inc. reserves the right to amend, modify, or update these Terms and Conditions at any time. Such changes may be made to reflect changes in applicable laws, regulations, or our business practices and policies.

Amendments may include changes to fees and charges, modifications to services and features, updates to security practices, and other changes deemed necessary by CARD OttoKonek, Inc. to enhance or maintain the quality and functionality of the OttoKonek application.

8.2 Notification of Amendments

We will notify you of any significant amendments to these Terms through one or more of the following methods:

• A notice displayed within the OttoKonek application.
• Posting the revised Terms on our website or through a public announcement.

We will provide notice of any amendments at least thirty (30) days prior to the effective date of the changes, except where immediate changes are required by law or to address security concerns.

8.3 Acceptance of Amendments

Your continued use of the OttoKonek application following the effective date of any amendments constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must discontinue your use of the OttoKonek application and close your account in accordance with Section 10 (Termination of the Agreement).

If you do not agree with the amendments, you may refuse to accept them by ceasing to use the OttoKonek application and contacting CARD OttoKonek, Inc. to close your account.

8.4 Review of Terms

It is your responsibility to review these Terms periodically to stay informed about any changes. The current version of the Terms will always be available on the OttoKonek application.

A record of historical versions of these Terms may be available upon request. Contact CARD OttoKonek, Inc. Customer Service using the contact details provided in Section 12 (Customer Service) to request information about prior versions.

9. Limitation of Liability

CARD OttoKonek, Inc. shall not be liable for:

• Losses resulting from unauthorized access to your account due to your failure to secure your credentials.
• Product defects or delivery issues caused by third-party suppliers.
• Any indirect, incidental, or consequential damages arising from the use of the App.

10. Intellectual Property

All trademarks, logos, and content within the App are the property of CARD OttoKonek, Inc. or its licensors. You are not permitted to copy, modify, or distribute any content without prior written consent.

11. Termination of the Agreement

You may request termination of the OttoKonek application Service by calling CARD OttoKonek, Inc.’s Customer Service to process your request. You shall remain responsible for the cancellation of the OttoKonek application Service.

The agreement comprised in these Terms and Conditions shall be deemed to remain in full force and effect if and in so far as any transaction is completed but not debited to your account/s prior to termination of the OttoKonek application Service shall not prejudice or omitted to be done prior to termination thereof.

CARD OttoKonek, Inc. may, for security and other reasons, withdraw the OttoKonek Service anytime you are given reasonable notice under the circumstances. If the OttoKonek application Service is erroneously or negligently withdrawn by the CARD OttoKonek, Inc. for any reason other than your breach of the terms and conditions hereof, CARD OttoKonek, Inc.’s liability shall be restricted to the return of the annual charges, if any, recovered from you for the period in question.

The closure of all your accounts enrolled on the Mobile application will automatically terminate the service.

CARD OttoKonek, Inc. may suspend or terminate your mobile application with notice if you breach any of the terms and conditions hereof or CARD OttoKonek, Inc. learns of your death or lack of legal capacity.

12. Governing Law

This OttoKonek application Agreement is governed by the provisions of Securities and Exchange Commission and all applicable laws of the Philippines relating to the covered transactions herein. It shall be understood that access to and use of the OttoKonek application Service shall be subject to applicable requirements and procedures of government telecommunications or other regulatory authorities and those prescribed by law.

These Terms and Conditions shall be construed, interpreted, and governed by Philippine laws. Venue of all legal actions or proceeding arising out of or in connection with these Terms and Conditions shall be brought only in the proper courts of San Pablo City, Laguna, or at any venue at the sole discretion of CARD OttoKonek, Inc., to the exclusions of all other venues.

13. Customer Service

By using these services, you agree to be bound by the Terms and Conditions that will be made available to you concerning these products and services. CARD OttoKonek, Inc. may notify any changes on the existing OttoKonek application services or introduce new Products through this mobile application.

CARD OttoKonek, Inc. shall not be liable for any losses or damages resulting from circumstances over which the Bank has no direct control, including, but not limited to, linking your linked Device, unauthorized access to any OTP sent to your Registered Mobile Number; disclosure of your personal information, Login Credentials, to other persons regardless of whether such disclosure was intentional or inadvertent, the failure of electronic or mechanical equipment or communication lines or other interconnection problems, system downtime, pandemics, epidemics, government actions, severe weather, earthquakes, floods, fire or other such other similar events.

You agree to provide CARD OttoKonek, Inc. with necessary information to be used for the investigation and resolution of your requests and complaints. CARD OttoKonek, Inc. shall provide you with the prescribed processing time to resolve a complaint.

You agree that you shall not rely on e-mail communications if you need to communicate with CARD OttoKonek, Inc. immediately for whatever urgent purpose, such as but not limited to, the reporting of your lost or stolen phone/sim card or unauthorized transaction in your Account/s. In any of these or similar instances, you shall call CARD OttoKonek, Inc.’s Customer Service to report your concern.

You agree that CARD OttoKonek, Inc. may change the official facilities and channels provided above from time to time. You undertake to keep yourself apprised and updated regarding CARD OttoKonek, Inc.’s announcements of changes in its official facilities and channels, as the same may change from time to time, as well as, regarding CARD OttoKonek, Inc.’s announcements on online security.

14. Waiver and Consent

I hereby agree to be governed by the terms and conditions including the amendments relative to this account.

I signify my consent and agree that CARD OttoKonek, Inc., Inc. (A) May collect, use and disclose my personal data, as provided in this document, or obtained by CARD OttoKonek, Inc., as a result of being its user, for the purpose of processing this document and (B) To the disclosure and sharing of the said information to CARD OttoKonek, Inc. subsidiaries/affiliates; and further understand that I have a right to amend/revise the information that I have provided including deletion of the said information, in accordance with the Data Privacy of 2012 and CARD OttoKonek, Inc., Data Protection Policy.

CARD OttoKonek, Inc. may also use my contact details, demographic information to contact me with marketing or promotional information regarding products, services and studies/surveys to be conducted by CARD OttoKonek, Inc. and CARD MRI including phone calls, mail, Email, SMS or any type of electronic message. CARD OttoKonek, Inc. may further use my personal data for the purpose of providing services to me or for other reasonable purposes which are related to the services it provides or improvements/upgrade in its system and business process (including but not limited to data analytics, automated processing, etc.)

After reading, I fully understand and agree to all these Terms and Conditions of CARD OttoKonek, Inc. mobile banking application.
